2. Services

BrightPulse provides digital marketing services including, but not limited to, Search Engine Optimisation (SEO), Pay-Per-Click (PPC) advertising management, social media marketing, and web design and development. The specific scope of services for each client is defined in a separate service agreement or proposal.

3. No Guarantees on Results

Digital marketing outcomes are influenced by many factors beyond our control, including but not limited to search engine algorithm changes, market competition, industry trends, and client-side factors. While we apply industry-standard practices and work diligently to help improve your online presence, we do not guarantee specific results such as rankings, traffic volumes, or revenue increases. Any projections or estimates provided are based on our experience and available data, and should not be interpreted as guarantees.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your business as needed for service delivery
• Grant necessary access to your website, analytics, and advertising accounts as required
• Review and approve content, strategies, and deliverables in a timely manner
• Make payments as agreed in the service agreement

5. Payment Terms

Payment terms are specified in the individual service agreement or proposal. Unless otherwise agreed:

• All prices are quoted in Indian Rupees (INR) and are exclusive of GST (currently 18%)
• Invoices are issued monthly and are due within 15 days of the invoice date
• Late payments may incur an interest charge of 1.5% per month on the outstanding amount

6. Intellectual Property

All content, designs, and materials created by BrightPulse for a client become the property of the client upon full payment, unless otherwise specified in the service agreement. BrightPulse retains the right to showcase completed work in our portfolio, unless the client requests otherwise in writing.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BrightPulse's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client during the three months preceding the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.

9. Termination

Either party may terminate the service agreement by providing 30 days' written notice. Upon termination:

• The client is responsible for payment of all services rendered up to the termination date
• BrightPulse will provide the client with all deliverables completed up to that point
• Access credentials and accounts will be transferred back to the client

10. Website Use

You agree not to:

• Use our Website for any unlawful purpose
• Attempt to gain unauthorised access to any part of our Website or systems
• Reproduce, distribute, or modify any content from our Website without our written consent

11. Disclaimer

The information provided on our Website is for general informational purposes only. While we strive to keep the content accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, or reliability of the information.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.
